These i4 Verse Inc. General Vendor Terms (“General Vendor Terms”) are entered into and agreed to by i4 Verse Inc. and all Vendors as a condition of accessing and using our Sites and/or Services. Among other things, these General Vendor Terms govern (i) Vendor Accounts and Listings (ii) vendor participation in our Reviews Program and (iii) purchase of all our vendor services such as Content publishing, PPC, Ads, i4 badge, PPL, Premium Profile, Premium Listing and all other services available to the vendors.
Vendors to whom these General Vendor Terms apply include, without limitation: all vendors with basic standard listings, non paying and vendors availing upgraded status, and silver and gold members.
BY ACCESSING AND USING OUR SITES AND SERVICES, YOU ATTEST THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE LEGALLY BOUND BY THESE GENERAL VENDOR TERMS. IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU MUST NOT ACCESS OR USE OUR SITES OR SERVICES.
In consideration of the premises set forth above, you, the Vendor, hereby agree as follows:
Our Sites and Services are intended solely for Users who are 18 years of age or older. Any access to or use of our Sites or Services by anyone under 18 is expressly prohibited. By accessing or using our Sites or Services you represent and warrant that you are 18 years of age or older.
You acknowledge that you are responsible for your actions and for all Content you post on our Sites. You represent and warrant, to the best of your knowledge:
At our discretion, we may, but are not obligated to, monitor and terminate your activity on our Sites, and/or edit or remove Content that violates or otherwise fails to comply with these General Vendor Terms.
Every vendor has a Vendor Account ( portal ), and the vendor Avails and Manages the services offered, through this account.
Vendor can create a free standard listing and then avail other services and premium upgrades, as well as memberships.
The Vendor Account ( Portal ) is a self-service tool that we make available to vendors, who may log in and manage their listings, content and other services offered by us. Vendor can authorize other team members to have accounts in the vendor account and regulate their rights to use specific services, through user management features.
Vendor accounts are created and managed by vendors, however each account is approved by the i4 Verse Inc. admins before a vendor gets access to the account and services. Any and all information provided by Vendor, must be 100 % true and accurate, with full integrity.
Vendor can create their own listings through self service, for multiple products and services offered under their company. This includes product descriptions, logo, names, images, videos, and all product / service related information that vendor wants to communicate to potential buyers, or that may help vendor to be found easily by buyers. Vendor shall ensure that all the Content and information that is provided comply with our product and service listings policy and guidelines. Vendor shall be responsible to ensure the integrity and correctness of the information they share while creating the listing, including trademarks, ip rights and legal.
i4 Verse Inc. offers publishing space on our site to vendor to publish and display articles, videos, download such as case studies, presentations, whitepapers, and other written materials, that may help educate buyers or help vendor in marketing their product or services. All of this content that is created and published by vendor, is sole responsibility of vendor to ensure its authenticity, no plagiarism, and copyrights. i4 verse inc shall not be liable under any circumstances for any content published by vendor, or held liable for any discrepancies in facts and figures, pictures, screen shots, or any such content presented. Vendor must ensure they abide by copyright and privacy laws and have their own policy that governs their content. The same terms apply to any agency that is used by the vendor, to create and post any content on our site. Vendor shall All intellectual property rights not expressly granted hereunder are expressly reserved to i4 Verse Inc. and to the respective owners of such rights.
USE OF OUR SITES AND SERVICES IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR SITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION: ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF THIRD PARTY INTELLECTUAL PROPERTY RIGHTS, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, ACCURACY OF INFORMATIONAL CONTENT OR SYSTEM INTEGRATION. WHILE OUR SITES SERVE AS A PLATFORM TO HOST LISTINGS, WE ARE NOT RESPONSIBLE FOR ENSURING THE LEGAL AND/OR REGULATORY COMPLIANCE OF THESE PRODUCTS AND SERVICES. FOR INFORMATION ON A PRODUCT’S OR SERVICE'S LEGAL AND/OR REGULATORY STANDING, PLEASE CONSULT THE VENDOR DIRECTLY THROUGH THEIR WEBSITE. WE DO NOT WARRANT THAT OUR SITES WILL BE SECURE, AVAILABLE OR OPERATE IN AN UNINTERRUPTED OR ERROR-FREE MANNER; THAT ERRORS OR DEFECTS WILL BE CORRECTED; OR THAT THE CONTENT ON OUR SITES IS ACCURATE OR APPROPRIATE FOR YOU AND YOUR BUSINESS NEEDS.
Neither party will be liable for any failure or delay of performance under these General Vendor Terms resulting from a force majeure event beyond the reasonable control of a party, including without limitation, natural disasters, acts of God, government regulations, war, terrorism, labor disputes and power failures.
Neither We nor Vendor will be liable for any consequential, special, indirect, exemplary or punitive damages arising out of or in any way related to these General Vendor Terms or Your use of our Sites and Services, including without limitation loss of profits, revenue, interest, goodwill, loss or corruption of data or other interruption of business (whether in contract, tort or under other legal theory), even if advised of the possibility of such damages. i4 Verse inc, under any circumstances, shall not be liable for any brand or product reputation impact, any loss or damage to the vendor.
We expressly disclaim liability for any and all disputes arising between vendors and users of our Sites and Services. By accessing and using our Sites and Services, You release us, our parent company and Affiliates from any and all liability for any and all claims arising from disputes between vendors and users of our Sites or Services.
Both i4 Verse Inc. and Vendor (in its capacity as “Indemnitor”) agrees to indemnify, defend and hold harmless the other party, its agents, affiliates and employees (in its capacity as "Indemnitee”) from and against any and all third party claims, liabilities, losses and expenses (including damage awards, settlement amounts and reasonable attorneys’ fees) arising out of or relating to a violation of these General Vendor Terms, except to the extent such losses and expenses arise from the negligence or willful misconduct of Indemnitee.
We reserve the right in our sole discretion, without penalty and at any time without notice, to modify or discontinue (temporarily or permanently) Vendor's access to our Sites and Services, or any part thereof if we believe that Vendor is violating these General Vendor Terms. If Vendor uses or attempts to use our Sites or Services for any purpose that contravenes these General Vendor Terms (including without limitation tampering, hacking, data scraping, using our Content for generative AI, modifying or otherwise corrupting the security or functionality of the Services), Vendor may also be subject to civil and criminal liability.
Vendor may terminate the Services at any time without penalty by sending notice of termination. Vendor’s notice must be sent by email, include a reason for termination and must be confirmed by i4 Verse Inc. by email. Termination will occur within 2 to 7 business days of receipt of notice email. All Click activity up until the date of termination is the responsibility of Vendor. Any outstanding fees are due immediately upon termination.
Notwithstanding the foregoing, either party may terminate these General Vendor Terms in the event of material breach by the other party, upon 30 days prior written notice, if the breach is not cured by the other party within such notice period.
These General Vendor Terms are governed by the laws of the province of ontario except for its conflicts of interest principles. All claims arising out of or relating to these General Vendor Terms will be litigated exclusively in the federal or provincial courts of ontario, canada and both i4 Verse Inc. and Vendor consent to personal jurisdiction in those courts.
Each party shall at all times comply with all national, state, and local laws, regulations, and orders that are applicable to the operation of its business and to these General vendor Terms, including anti-bribery and anti-money laundering laws. Without limiting the generality of the foregoing, each party shall at all times, at its own expense, obtain and maintain all certifications, licenses, and permits necessary to conduct that portion of its business relating to the exercise of its rights and the performance of its obligations under these General Vendor Terms.
These General Vendor Terms and the rights granted to You hereunder may not be assigned, sublicensed or transferred, in whole or in part, by either party without the prior written consent of the other party, except to (1) substantially all of the business or assets, or (2) any particular set of assets, business, product or service lines of a party, in each case, by merger or acquisition. Where consent is required, it will not be unreasonably withheld.
Our failure to act with respect to a breach will not constitute a waiver and does not waive our right to act with respect to subsequent or similar breaches. If any of these General Vendor Terms shall be deemed invalid, void, or for any reason unenforceable under applicable law, then that term shall be deemed severable and shall not affect the validity and enforceability of any remaining term or provision of these General Vendor Terms.
These General Vendor Terms, along with the applicable Service Description(s), Insertion Order(s), or Order Form(s), constitute the entire and exclusive agreement between the parties with respect to the subject matter hereof; and supersede, replace any/or nullify any conflicting or additional terms. In the event of a conflict between a term hereunder and a term in the Service Description(s), the term in the Service Description(s) will take precedence for the duration of the engagement. In the event of a conflict between a term hereunder and a term in the Insertion Order(s) or Order Form(s), the term in the Insertion Order(s) or Order Form(s) will take precedence for the duration of the engagement.
We reserve the right to periodically update these General Vendor Terms and, provided such updates do not materially adversely impact your rights under these terms, your use of our Sites and Services following such posted updates will be deemed an acceptance of such updates. All changes are effective immediately when we post them. However, any changes to the dispute resolution provisions set out in Governing Law and Dispute Resolution sections will not apply to any disputes for which the parties have actual notice on or before the date the update is posted on the Site. You are responsible for checking these General Vendor Terms periodically for changes and updates.

User: anyone who uses our site or services, including general public and vendors
Buyer / Visitor: refers to general public that visit our site. These typically include potential buyers trying to find a solution to their business problems, or industry enthusiasts learning about various technologies and solutions.
Vendor: refers to the companies that provide products or services in the b2b segment for manufacturing, supply chain or technology.
Product Listing: refers to the dedicated space in which information regarding vendor’s products or services is displayed on our site, so buyers can learn and evaluate a potential product or service for purchase.
PPC: pay per click, refers to vendors paying us for each click they receive through our site or services.
PPL: pay per lead, refers to the vendors paying us for each lead they receive through our site or services.
Content: refers to any written, video or downloadable content in form of text, images, videos, files, that is consumed ( read, viewed, downloaded ) by the buyers. Content in the context of product listings, also refers to any information provided by the vendor while creating a product listing, including but not limited to product descriptions, images, videos, problem statements, kpis, solution statements, target industries, features, integrations, pricing and any other information entered into our site.
These Guidelines for Product Listings (“Guidelines”), which are incorporated by this reference into the General Vendor Terms, govern the use of our Sites, Services and Content by i4 Verse Inc. and our Affiliates (“Us”) and all Vendors
Product Listings are are high-level descriptions of Vendor’s products (including vendor name & logo, product name & description, screenshots and any content describing the product or service that the vendor offers to buyers in the industry ) created by Vendor and featured in i4 Verse Inc.

Vendor shall create product listing through Vendor account, and will have full control of filling out the mandatory fields and optional fields with information that they want to display in their listings or information that may help buyer search and find their solution. In order to maintain the consistency and value of our services, we ask vendor follow the guidelines regarding description length, image sizes etc. in the menu of product listing creation. Vendor is responsible for selecting and listing their product under most accurate category that represents their business.

Vendor is responsible for the accuracy of all features, integrations and all the information provided under the menu to complete the listing, ensuring that there is no neglect regarding the integrity. The product or service listed must represent the product or service provided by the vendor. Our platform takes the buyers time and engagement very seriously, and Vendor shall ensure that no information from their side is misrepresented or misleading for the buyers.
i4 Verse Inc. reserves all rights to accept or reject any product and service, with or without further explanations provided to a vendor. Vendor shall have no discretion towards approval of their listing. i4 Verse Inc. may exercise these rights at any time in the course of collaboration with the vendor, which means we reserve all rights to revoke vendor account, or specific listing or service requested to be listed by the vendor. Any product listing or service submitted by the vendor shall only go live on our site after approval by our admin team.
Our aim is to list all B2B solutions that help Manufacturing and Supply Chain Industry and that fit within one or more of our categories. Among the criteria for inclusion are ( It refers to a product / service offered by a vendor ):
PLEASE NOTE: While our sites serve as a platform to host product listings, we are not responsible for ensuring the legal and/or regulatory compliance of these products or services. For information on a product's legal and/or regulatory standing, site users will be directed to the vendor's website directly.
A vendor may request removal of their listing by contacting our admin team at contact@i4verse.com.
i4 Verse Inc. reserves all rights to remove product and service, with or without further explanations provided to a vendor. Vendor shall have no discretion towards approval of their listing or removal of their listing. i4 Verse Inc. may exercise these rights at any time in the course of collaboration with the vendor, which means we reserve all rights to revoke vendor account, or specific listing or service requested to be listed or already listed by the vendor. Any product listing or service submitted by the vendor shall only go live or remain on our site if it is actively approved by our admin team.
If a vendor is no longer in business and/or the product / service listed is no longer being sold (clearly reflected on the company website), we will either (i) review and remove the product listing from the catalog; or (ii) keep the listing and indicate that the product is no longer sold or discontinued.
If a vendor listed product / service does not any longer fit into the category it was originally listed under; vendor shall then change the product / listing category and / or subcategories, as per our recommendation. Failure to comply with this rule will result in rejection of the product / service listing or even the vendor account, ending our collaboration with the vendor.

By listing on our site, you agree that we may display information from your listings or your entire listings in our newsletters to maximize our reach to the industry buyers and anyone visiting our site or a part of our email campaigns, for example such as check out these top vendors for 3d printing. You agree we may market or include your listing on one of our social media platforms, such as but not limited to LinkedIn, in order to provide valuable service to our buyers to consider solutions available in the market.
We reserve the right to make changes to these Guidelines at any time without penalty by posting notice of such change on our Sites. Your use of Our Sites and/or Services after such notice has posted constitutes your acceptance of the updated Guidelines.
Content refers to any written text, images, videos, downloadable files that are provided by the vendor while using our content marketing services in form of Blogs, Written Articles, Videos, Downloads.
Vendor is responsible for all content created and published on i4 verse inc website. The content will be used by website visitors in the form of blogs, written articles, videos, downloadable files and images, in order to understand the product / service provided by the vendor or to simply educate themselves in the area of posted content topic. Vendor shall be responsible for ensuring that all the content they create and publish is compliant with copyright laws and there is no plagiarism of any kind. Any content that is created and published by vendor is sole responsibility of the vendor. Any copyright infringement found, shall be directed to the vendor ; i4 verse inc. will assume no liability in such infringement.
i4 Verse inc, reserves all the rights to approve and reject the content submitted by vendor for approvals. i4 verse inc admin team will review this content only for topic relevance to the category it is being posted under and formatting correctness. i4 verse inc, assumes no responsibility for facts and figures, images, charts and graphs or text provided in the content of any form. i4 verse does not conduct any plagiarism checks for the vendor content, this is solely vendor's responsibility. Vendor must ensure all images or videos, voices they have used are under the copyright laws.
Vendor may select a location for posting the content, however i4 verse inc reserves the right to decide whether to publish the content or not after careful review by the admin team.
The content posted by vendors and approved for publishing will go live on the dates selected by the vendor, however it will continue to stay live unless the vendor requests a removal of the post.
By publishing content on our website, vendor agrees that the site visitors will be able to use Sharing buttons to share the content with whoever so they desire using links such as forwarding through email, posting on linkedin, facebook etc.
Vendor also agrees that i4 Verse inc team may use the links to this content on our social media platforms such as Linkedin, Facebook, Instagram, Tik Tok to share the content with potential industry buyers or enthusiasts. Since the vendor has already posted this content on our site, vendor grants us permission and rights to publish this content as a part of our marketing efforts to gain a wider audience and visitors to our site.
